2 Payments & Invoices

• Official invoices are issued for all paid services with company letterhead and stamp
• Clients must make payments only to official bank accounts or authorized payment methods shared via official company communication channels
• Payment terms will be clearly mentioned in the invoice (advance, milestone-based, or full payment)
• Late payments may result in service suspension or additional charges

3 Verification & Authorized Representation

Adzynix Digital Marketing Agency LLP provides official documents, stamped letters, and verified communication when required.

If any person claims to represent Adzynix Digital Marketing Agency LLP:

• Do not trust verbal claims alone - Always verify identity
• Request official email confirmation from info@adzynix.com
• Ask for stamped documents or authorization letters
• Verify through official contact details before making payments or sharing confidential information
• Cross-check bank account details via official email before every transaction

4 Fraud & Misuse Disclaimer

We are not responsible for:

• Payments sent to fake, incorrect, or unauthorized bank accounts
• Fraudulent phone calls, emails, or messages from third parties impersonating the company
• Client negligence in verification procedures before making transfers
• Sharing sensitive information with unverified individuals
• Transactions made without proper documentation or confirmation

5 Refund & Cancellation Policy

• Digital marketing and creative services are generally non-refundable once work has started
• Refunds, if any, will be considered only under written agreement and exceptional circumstances
• Advance payments are non-refundable unless explicitly stated otherwise in a signed contract
• Cancellation requests must be submitted in writing with valid reasons
• Partial refunds may be considered based on work completed and deliverables provided

6 No Performance Guarantee

While we strive to deliver the best results using industry-standard practices, we do not guarantee:

• Specific search engine rankings or positions
• Exact number of leads, conversions, or sales
• Fixed revenue outcomes or ROI percentages
• Viral social media reach or engagement
• Immediate results from marketing campaigns

Results depend on multiple external factors including:

• Market competition and industry dynamics
• Search engine algorithm updates
• Social media platform policy changes
• Client's product/service quality and pricing
• Target audience behavior and preferences

7 Intellectual Property

All designs, strategies, content, source files, and deliverables created by Adzynix remain company property until full payment is completed.

After full payment:

• Clients receive full ownership of final deliverables
• Source files and editable formats will be provided as agreed
• Company retains the right to showcase work in portfolio (unless NDA signed)

8 Limitation of Liability

Adzynix Digital Marketing Agency LLP shall not be liable for:

• Indirect, incidental, or consequential damages arising from service usage
• Business losses, revenue loss, or lost profits
• Delays caused by third-party platforms (Google, Facebook, etc.)
• Algorithm changes or policy updates by search engines and social media platforms
• Technical issues, server downtime, or internet connectivity problems
• Client's failure to provide necessary information or approvals on time

Maximum liability is limited to the amount paid for the specific service in question.

9 Client Responsibilities

Clients agree to:

• Provide accurate information, content, and materials required for services
• Respond to queries and provide timely approvals
• Grant necessary access to platforms, accounts, and tools
• Ensure all provided content is legally compliant and copyright-free
• Make payments according to agreed terms and schedules
• Communicate changes or concerns promptly

10 Modifications to Terms

We reserve the right to modify, update, or change these Terms & Conditions at any time without prior notice.

• Updated terms will be posted on this page
• Changes become effective immediately upon posting
• Continued use of services indicates acceptance of updated terms
• Clients will be notified of major changes via email when possible

11 Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising from these terms or services provided will be subject to the exclusive jurisdiction of courts in Kushinagar, Uttar Pradesh, India.

Dispute Resolution:

• First attempt will be made to resolve disputes amicably through discussion
• Mediation may be used if mutual agreement cannot be reached
• Legal proceedings will be initiated only as a last resort
